1. Agreement Overview

These Terms and Conditions ("Terms") govern your access to and use of Agent Taskflow's platform and services ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you're using the Platform on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" and "your" refer to both you and the organization.

2. Service Description

Agent Taskflow is a comprehensive multi-agent orchestration platform that enables the configuration, deployment, and management of AI agents through our proprietary orchestration and execution systems.

The Platform provides:

  • Advanced multi-agent collaboration and orchestration capabilities
  • Proprietary agent configuration systems and memory management
  • Workspace-style chat interfaces for agent interaction
  • Real-time event processing and workflow automation
  • Enterprise-grade integrations and data processing capabilities
  • Knowledge graph integration and contextual memory systems
  • Customizable workflow builders and automation tools

Our Platform includes all related software, APIs, integrations, and services as described in our documentation. We may enhance or modify the Platform's features with notice to users, provided such modifications do not materially reduce core functionality during a subscription term.

3. License and Usage Rights

We grant you a non-exclusive license to access and use the Platform. You retain full ownership of all your content, workflows, and outputs created using the Platform. Basic usage restrictions include:

  • Not attempting to extract or copy the Platform's underlying technology
  • Not using the Platform for any illegal purposes
  • Not intentionally overloading or damaging the Platform
  • Not exceeding any applicable usage limits
  • Not attempting to circumvent any Platform security measures

4. AI Agent Operations & Liability

You acknowledge and agree that:

  • AI agents can operate autonomously or through predefined workflows
  • You are solely responsible for defining and configuring all agent workflows, parameters, and constraints
  • You must monitor and verify all agent actions and outcomes
  • You must implement appropriate safeguards for both autonomous and deterministic operations
  • You must immediately disable any agent that violates laws, regulations, or intended behavior

We reserve the right to monitor agent operations and suspend or terminate any agent immediately without notice if we determine it poses risks to the Platform, violates these Terms, or engages in harmful behavior.

5. Data Rights and Privacy

You retain all rights to your data. We process data in accordance with our Privacy Policy and applicable data protection laws. We maintain industry-standard security measures to protect your information, but you are responsible for:

  • Securing account credentials
  • Maintaining backup copies of your data
  • Ensuring you have the right to share any data you upload
  • Implementing appropriate security controls

6. Third-Party Services

The Platform may integrate with third-party services subject to separate terms and conditions. You are responsible for:

  • Complying with third-party terms
  • Obtaining necessary rights and licenses
  • Maintaining security of integration credentials
  • Any fees charged by third-party providers

7. Disclaimers and Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND. WE EXPRESSLY DISCLAIM ALL LIABILITY FOR:

  • Any actions taken by agents in any operational mode
  • Execution of predefined workflows or sequences
  • Autonomous decisions or actions
  • Consequences or outcomes from agent operations
  • Any violations of law or regulation by agents
  • Any decisions, recommendations, or outputs generated by agents

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT TASKFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY.

9. Dispute Resolution

These Terms are governed by Delaware law. Any dispute must be resolved through binding arbitration administered by the American Arbitration Association in New York, except either party may seek immediate injunctive relief for confidentiality or intellectual property violations. Both parties waive the right to pursue disputes on a class or representative basis.

10. Tax and Trade Compliance

You are solely responsible for determining and complying with all applicable tax obligations in your jurisdiction, including but not limited to:

  • Local sales tax, VAT, GST, or similar consumption taxes
  • Import duties or tariffs that may apply to digital services
  • Any withholding taxes required by your jurisdiction
  • Trade-related surcharges or special duties

Given the dynamic nature of international trade relations and potential tariffs, you acknowledge that:

  • Service costs may be affected by international trade measures
  • You are responsible for monitoring and complying with your local trade regulations
  • You must pay any applicable import duties or tariffs
  • We are not responsible for advising on or collecting local taxes or duties

The Platform is subject to U.S. export laws and may not be accessed in U.S.-embargoed regions. You acknowledge that AI technology may be subject to additional restrictions and agree to comply with all applicable regulations.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Platform or via email. Your continued use after such changes constitutes acceptance of the updated Terms.
